Welcome to GigaFi.ai. Your access to and use of GigaFi.ai's services — including our AI Pros directory, AI Tools marketplace, AI Jobs portal, and AI Learning Center (collectively, "Services") — are conditioned upon your acceptance of and compliance with these Terms of Service ("Terms").
Terms of Sale
When you purchase goods, services, or license software through GigaFi.ai, whether directly or in connection with an offer or discount, such transactions are bound by these Terms, alongside any additional Terms of Sale which are explicitly incorporated herein by reference.
General Provisions
Warranty Disclaimer
GigaFi.ai, along with its licensors and suppliers, disclaims all warranties to the fullest extent permissible by law, regarding the Services and any content or products accessed through them. GigaFi.ai shall not bear responsibility for the accuracy, copyright compliance, legality, or decency of material within or accessed via the Services. No endorsements of suggestions or recommendations of services or products offered or purchased through the Services are implied. All products and services procured through the Services are provided "AS IS" without warranty of any kind by GigaFi.ai or any third party, unless otherwise explicitly stated in a separate agreement.
Limitation of Liability
Under no circumstance shall GigaFi.ai or its affiliates, licensors, or suppliers be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services, regardless of the legal theory applied, even if advised of the possibility of such damages. Notwithstanding any damages that you might incur, the entire liability of GigaFi.ai under any provision of these Terms and your exclusive remedy for all the foregoing shall be limited to the amount you paid to us, if any, for using the Services during the twelve (12) months preceding the claim, not to exceed $100 USD.
Indemnification
You agree to indemnify, defend, and hold harmless GigaFi.ai, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Services using your account.
Product and Service Disclaimer
GigaFi.ai acts as a platform for users to discover AI-related products, services, and information. We are not directly involved in the transaction between buyers and sellers. As such, we have no control over the quality, safety, or legality of the items advertised, the truth or accuracy of listings, or the ability of sellers to sell items or of buyers to buy items. We cannot ensure that a buyer or seller will complete a transaction or return an item. GigaFi.ai is not responsible for any issues that arise from the use of services or products listed or advertised on this site by AI Pros or any other vendors. Users are advised to exercise caution and perform due diligence when engaging in transactions.
Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by GigaFi.ai without restriction or notice.
Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any disputes will be resolved through final and binding arbitration under the rules and auspices of the American Arbitration Association, to be held in Texas, USA.
Miscellaneous
These Terms constitute the entire agreement between you and GigaFi.ai regarding our Services, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the Terms). Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
